Terms and Conditions

1. BINDING AGREEMENT

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between OREXI Tech Limited, a company incorporated in the United Kingdom (“Company”, “we”, “us”), and you, the business entity (“Client”, “you”). This Agreement governs your access to and use of our Software-as-a-Service (SaaS) platform and related digital tools.

BY CREATING AN ACCOUNT OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, OR IF YOU DO NOT HAVE THE AUTHORITY TO BIND YOUR BUSINESS, YOU MUST NOT USE OUR SERVICES.

2. DEFINITIONS

  • “Services”: Refers to our digital platform, including but not limited to OREXI Menu, OREXI Pro, OREXI Website, and any other software, applications, or technical tools provided by the Company.
  • “Subscription”: The right to access and use the Services for a specific period (“Subscription Period”) upon payment of the agreed fees (“Fees”).
  • “Content”: Any data, text, graphics, or images uploaded to the Services by either the Company or the Client.

3. SCOPE OF SERVICES & LICENSE

3.1. Grant of License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your internal business operations during your Subscription Period.

3.2. Product Suite: Our suite currently includes digital ordering systems, point-of-sale (POS) management, and website builders. We reserve the right to update, rename, or introduce new modules under the “OREXI” brand without requiring a new Agreement.

4. CLIENT RESPONSIBILITIES & COMPLIANCE

4.1. Legal Compliance: You are solely responsible for ensuring that your use of the Services complies with all applicable national and international laws (including Greek and UK regulations).

4.2. Tax & AADE Reporting: The Client is solely responsible for the declaration of all sales, revenues, and transactions to the Independent Authority for Public Revenue (AADE) in Greece, and any other relevant tax authorities (e.g., HMRC in the UK). The Company provides technical tools for recording data but does not act as a tax representative or guarantor of fiscal compliance.

4.3. Food Safety & Labeling: You are exclusively responsible for the quality of products sold and the accuracy of all information provided to consumers, including allergen declarations and price transparency.

5. FEES, BILLING, AND CANCELLATION

5.1. Billing Cycle: Unless otherwise agreed, the billing period is 30 days, starting from the date of registration.

5.2. Auto-Renewal: Subscriptions automatically renew at the end of each period using the payment method on file. You may disable auto-renewal through your dashboard at any time.

5.3. Refunds: You have the right to cancel your subscription within 14 days of purchase without giving any reason. To exercise this right, you must notify us of your decision before the 14-day period expires. Upon valid cancellation within this period, we will refund all payments received from you. After the 14-day period, fees are non-refundable. Upon cancellation, you will retain access until the end of the current paid period, after which access will be terminated and data may be deleted.

6. INTELLECTUAL PROPERTY

6.1. Ownership: All intellectual property rights in the Services, including source code, UI/UX design, and the “OREXI” brand, remain the exclusive property of OREXI Tech Limited.

6.2. Restrictions: You shall not attempt to decompile, reverse-engineer, or copy the Services to build a competing product.

7. DATA PROTECTION (GDPR)

7.1. Processing: We process end-user data (names, addresses, phone numbers) strictly to facilitate your orders. You are the “Data Controller” for this information, and the Company is the “Data Processor.”

7.2. Marketing Prohibited: You may not use customer data obtained through the Services for marketing purposes unless you have obtained independent, explicit consent from the user.

8. LIMITATION OF LIABILITY & WARRANTY

8.1. “As-Is” Basis: The Services are provided without any warranty of uninterrupted availability. We are not liable for technical outages beyond our reasonable control.

8.2. Liability Cap: To the maximum extent permitted by law, OREXI Tech Limited shall not be liable for any loss of profits, indirect damages, or data loss. Our total liability shall not exceed the amount paid by you for the Services in the three (3) months preceding the claim.

9. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the Laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the Courts of London, UK.
